Simply put, DCAF is a web-based disclosure and filing platform that offers law firms,
public companies, institutional investors, Section 16 insiders and other reporting professionals
the ability to prepare and file with the SEC some of the most common disclosure forms,
without ever leaving DCAF, including Form 8-K, Schedules 13D and 13G, Form 12b-25, Section
16 forms, SEC correspondence, among others. DCAF allows users the ability to draft and
file reports utilizing either a template process, or in the case of certain forms and documents,
such as Form 8-K and SEC correspondence, the ability to directly upload the filing to DCAF,
which then automatically converts the documents to SEC-compliant HTML without the intervention
of a filing agent. DCAF also incorporates applicable rules, regulations and instructions
that allow the user to ensure compliance with applicable disclosure requirements without
ever leaving DCAF. Multiple reporting professionals can also
work simultaneously and collaboratively on each filing, without having to send documents
back and forth by email. But perhaps best of all, DCAF allows for desk-top filing with
the SEC’s EDGAR database anywhere, anytime, simply with the click of a mouse. And once
the report is live filed with the SEC, individuals or groups previously designated by the account
administrator automatically, and in real-time, receive a copy of the report along with a
customized message, allowing reporting companies and reporting persons the ability to comply
with any contractual reporting obligations. Or you may simply want to provide courtesy
copies to designated recipients. Either way, DCAF is designed to accommodate.
