I’m Reed Bloodworth an Orlando Florida attorney.
I’ve been practicing commercial and business litigation and estate and trust litigation
since 2004.
Today I want to talk about what happens when you are a potential plaintiff in a breach
of contract action.
First let’s remember what makes up a contract.
Got to have an offer got to have an acceptance and you have to have consideration something
of substance that the parties are negotiating over.
Once you have a valid contract the question becomes what is a breach?
Well a breach in a technical sense means there was a valid contract one of the parties did
something wrong and as a result of that you suffered damages meaning you were out of money
or someone didn’t deliver goods to you or some service was not provided.
That’s a breach of contract.
So what do you do?
Well there are a number of things you could do.
The most important thing you need to do is consult with an attorney.
You want to make sure all of your rights are protected.
Often times when someone believes they have been a victim of a breach of contract they
want to engage with the person directly.
There are times this is OK.
You want to give them a chance to remedy the contract.
Often times the contract will provide those terms.
You know if there was a default of some type within the contract there’s a period of
time by which the other party can cure it.
Many times this is OK.
However you do not want to become immediately very confrontational.
You do not want to fire off you know a very nasty e-mail or send a bad voicemail or something
of that nature.
If it comes to the point that legal action is necessary you can file a lawsuit.
You can file a lawsuit for breach of contract.
You can also file a lawsuit for unjust enrichment depending on the situation or some other various
equitable claims that often times accompany a breach of contract action.
These are all decisions that you should consult with and make with an attorney.
